1 – Definitions

1.1 This agreement applies to both:
an annual license, which is renewed yearly unless terminated in time;
a one-time license, which remains valid indefinitely upon payment.

2 – Scope of the license

2.1 MONOP B.V. hereby grants the rightful acquirer of the Greenscreenbox® app (“you”) a right to use this software.

2.2 This license grants the right to use the software on a single device at a time, regardless of whether it is an annual or a one-time license.

2.3 The following actions are not permitted:

  • Reverse engineering or decompiling the software, except where explicitly allowed by mandatory law;
  • Providing copies of the software to third parties;
  • Sub-licensing or making the software available to third parties, including through rental, Software-as-a-Service models, or otherwise
  • Modifying the software, except where explicitly allowed by mandatory law;
  • Removing or rendering unreadable any indications of MONOP B.V. as the rights holder of the software or parts thereof.

3 – Intellectual Property

3.1 All rights to the software, its accompanying documentation, and any modifications or extensions thereof are and remain the property of MONOP B.V. You only acquire the usage rights and authorizations explicitly granted under this agreement or in writing, and may not otherwise use, reproduce, or disclose the software.

4 – Consideration

4.1 You are responsible for installing and initiating use of the software. The documentation outlines the recommended hardware and software requirements.

4.2 A fee is required for the usage rights. This may be a one-time payment for a one-time license or a recurring payment for an annual license. The selected license type is confirmed at the time of purchase and specified in the accompanying license information.

4.3 MONOP B.V. reserves the right to adjust the recurring fee once per calendar year. If an adjustment occurs, you will be notified at least two months in advance. This does not apply to already-paid one-time licenses.

5 – Updates

5.1 MONOP B.V. periodically releases updates to fix errors or improve the software’s functionality.

5.2 The software regularly checks for available updates and downloads and installs them automatically. MONOP B.V. accepts no liability for issues resulting from not installing an available update.

6 – Support

6.1 MONOP B.V. will provide a reasonable level of support via its website and/or email (or other channels disclosed to you). However, MONOP B.V. makes no guarantees that all reported issues or requests will be addressed.

7 – Warranties and Liability

7.1 MONOP B.V. guarantees:

  • That the Greenscreenbox® app substantially functions as described in the documentation;
  • That the Greenscreenbox® app does not contain viruses, backdoors, or malicious routines;
  • That the Greenscreenbox® app does not infringe on third-party rights (such as copyrights), except in cases of specific misuse of the software;
  • To make reasonable efforts to investigate and resolve reported defects or to provide a workaround (MONOP B.V. may defer fixing minor issues until the next scheduled update);
  • But offers no further warranties.

7.2 Except in cases of intent, gross negligence, or breach of the above warranties, MONOP B.V. is not liable to you for any damages related to the Greenscreenbox® app, on any legal grounds.

7.3 No liability applies if the damage is not reported to MONOP B.V. within a reasonable time after discovery, or if the damage results from force majeure.

8 – Term of the Agreement

8.1 This agreement becomes effective upon initial use of the software. Depending on the license type:
For an annual license, the agreement is valid for one year, with automatic renewal as described in 8.2.
B. For a one-time license, the agreement remains in effect indefinitely, unless terminated under the provisions of this agreement.

8.2 Annual licenses renew automatically each year unless you cancel at least one month before the end of the current term.

8.3 This agreement is automatically terminated if you are declared bankrupt, apply for suspension of payment, if your assets are seized in full, upon your death, or if you enter liquidation, are dissolved, or cease operations.

8.4 Upon termination of the agreement (for any reason), you must cease all use of the Greenscreenbox® app.

9 – Miscellaneous Provisions

9.1 This end user license agreement is governed by Dutch law.

9.2 Unless otherwise dictated by mandatory law, all disputes arising from this agreement shall be submitted to the competent Dutch court in the district where MONOP B.V. is established.

9.3 If any provision of this agreement is found to be invalid, this shall not affect the validity of the entire agreement. The parties shall replace such provision with one that best reflects the intent of the original, to the extent legally possible.

9.4 MONOP B.V. may transfer its rights and obligations under this agreement to a third party acquiring the related business activities or the copyrights to the Greenscreenbox® app.
